Affiliate Program Terms

These Affiliate Program Terms are an addendum to the MarketplaceAdPros Terms and Conditions and apply in addition to them. Where these terms conflict with the main Terms, these terms control for the affiliate program only.

Marketplace Ad Pros operates an affiliate program that pays cash commissions to approved partners who refer new paying customers. By applying to and participating in the affiliate program, you agree to the terms below.

This is distinct from the customer referral program, which pays account credit rather than cash.

1. Eligibility & Approval

Participation requires a Marketplace Ad Pros account and an approved application. We may approve, reject, pause, or terminate any affiliate at our sole discretion.

2. Commissions

You earn commission on the net subscription revenue (after discounts and excluding taxes) paid by customers you refer, for the commission period applicable to your account, measured from each referred customer's first paid invoice. Your commission rate and period are shown in your affiliate dashboard and may be set per affiliate. The rate and period in effect when a referral locks (at that customer's first paid invoice) apply to that referral; later changes affect only referrals not yet locked. Amounts may change at any time without prior notice.

3. Verification

Referrals and commissions are subject to verification before payout. Commissions remain pending until reviewed and paid, and may be reversed to account for refunds, disputes, or chargebacks.

4. Refunds, Disputes & Chargebacks

If a referred customer refunds, disputes, or charges back a payment within 90 days of that payment, the related commission is reversed in proportion to the amount refunded. After 90 days the commission is final. If a reversed commission was already paid out, the amount is offset against your future payouts; if there are no future payouts to offset, we may, at our discretion, carry the balance forward or write it off.

5. Attribution

We determine attribution at our sole discretion. A customer account is attributed to one affiliate. Attribution may come from your referral link or your discount code; a code can establish or change attribution only before any commission has accrued for that customer, after which attribution is fixed.

6. Discount Code

Your discount code offers eligible new customers a promotional discount (currently 30% off their first 3 months). It is for new customers only and may be changed or withdrawn at any time.

7. Payouts

Payouts are made in US dollars to the account you provide. The available payout methods (e.g. PayPal or Venmo) depend on your country; Venmo is available to US affiliates only. Payouts are issued no more than once per calendar month, and only once your accrued, eligible balance reaches $100; smaller balances carry forward. A completed tax form (section 8) must be on file before any payout. You are responsible for providing a correct payout account; we are not liable for payments sent to an incorrect account you provided.

8. Taxes

You are solely responsible for taxes on your commissions. You must provide the applicable IRS tax form (e.g. W-9 for US persons; the applicable W-8 form for non-US persons or entities) before any payout. US affiliates paid $600 or more in a calendar year will receive a 1099-NEC. We may withhold payouts until a valid tax form is on file.

9. Prohibited Conduct

The following are prohibited and may result in forfeiture of unpaid commissions and termination:

• Self-referrals, or referring accounts you own or control
• Fraud, fake signups, cookie-stuffing, or misrepresentation
• Spam, or bidding on Marketplace Ad Pros or its brand/trademark terms in paid search
• Misleading claims about Marketplace Ad Pros, or unauthorized use of our name, logo, or brand assets

10. Independent Contractor

You are an independent contractor, not an employee or agent of Marketplace Ad Pros, with no authority to bind Marketplace Ad Pros.

11. Termination

Either party may end participation at any time without prior notice. On termination, your referral link and discount code are deactivated. Eligible accrued commissions will be paid, except where participation is terminated for fraud or abuse, in which case unpaid commissions are forfeited.

12. No Guarantee & Changes

We make no guarantee of any earnings. We may update these affiliate terms at any time; when we materially change them we may require you to accept the updated terms to continue participating, and may pause new attribution or payouts until you do.
